Corporate Governance Attorney

We are currently seeking junior to mid-level Corporate Governance Attorneys to work with the world's largest publicly-traded/Fortune 500 clients across multiple industries.

Responsibilities:

• Advise on corporate governance, securities, and public company compliance matters, including SEC and stock exchange requirements.
• Support Board of Directors and committee activities, including preparing agendas, resolutions, minutes, and governance materials. 
• Draft and review SEC filings and corporate disclosures, including proxy statements, Forms 10-K/10-Q/8-K, and Section 16 filings. 
• Advise on governance policies, entity management, shareholder matters, and corporate transactions in partnership with legal and business teams.

Qualifications:

• 4+ years of legal experience focused on corporate governance, securities, and/or public company matters
• Experience advising on SEC reporting, securities regulations, Board governance, and corporate policies, preferably with public companies
• Prior in-house experience preferred, with experience partnering with senior executives, Boa
