Role Summary
Corporate Governance
Overseeing and monitoring offshore subsidiaries’ local governance administration
Overseeing the service providers by the outsourced company secretarial providers across the jurisdictions
Compliance
Monitoring changes in legislation and advising the Board and Executives on any developments that may impact the Group.
Legal and Regulatory Filing
Filing of legal and regulatory documents, including annual reports and financial statements, confirmation statements and other statutory filings with Companies House
Overseeing and monitoring non-UK subsidiaries compliance with local filing requirements
Incorporation of new companies
Maintaining group companies’ books and ensuring these are up to date
Board and Committees’ Meetings
Assisting with convening and attending board/committee meetings in person (or remotely if meetings are held remotely); arranging meeting agendas materials, and taking minutes throughout; drafting and maintaining minutes for group companies; arranging meetings with companies’ notaries where necessary
Ensuring that meetings are properly organised, run effectively and have appropriate papers and minutes
Ensuring good information flows within the board and its committees and between senior management, and non-executive directors.
Ensure the Group's corporate records and statutory registers are kept up to date
Record Keeping and Filings
Ensuring the Group's corporate records and statutory registers are kept up to date.
Completing filings with the relevant agencies as necessary and in compliance with the relevant regulations
Primary responsibility for compliance with the reporting requirements for the companies; filing of legal and regulatory documents, including annual reports, financial statements, confirmation statements etc.
Liaising with external regulators, lawyers and auditors as necessary
Legal Team Support
Supporting the legal team generally with ongoing ad hoc matters including but not limited to litigation/commercial/corporate matters
Responding to KYC requests; liaising and working closely with corporate services providers across jurisdictions
Requirements
4+ years' experience working in a company secretarial team within a corporate services firm or within a corporate department of a law firm or inhouse
Good working knowledge of company law
Attention to detail and a well-organised approach to work
Ability to prioritise work and to work well under pressure
Superb time management and project management skills
Strong interpersonal skills and ability to work well with people at all levels
Have no difficulty coming to the office when required on short notice
