Senior Corporate Counsel

ABOUT THE TEAM

The Rubrik corporate legal team is looking for an energetic and talented Senior Corporate Counsel with a passion for working on corporate securities, transactions and compliance matters and driving business in a fast-paced in-house environment. This position reports to Rubrik’s Senior Director, Corporate Legal and is located in Rubrik’s HQ (Palo Alto). You will work 3 days a week in the office.

What you’ll do:

• Prepare and review SEC filings, such as Forms 10-K, 10-Q, 8-K, proxy statements, registration statements, and Section 16 reporting, including Forms 3, 4, and 5.
• Advise on compliance with public company rules and regulations, including the Securities Act of 1933, the Securities Exchange Act of 1934, stock exchange listing standards, and Delaware law.
• Assist with corporate governance matters, including board and committee materials and meetings and governance for Rubrik’s international subsidiaries.
• Offer legal support for corporate transactions such as M&A and capital markets transactions, including financings, restructurings, credit facilities, stock repurchases, and debt offerings.
